These Terms of Service (“Terms”) govern your use of aztordev.online (the “Site”) and the services provided by AztorDev (“we”, “us”, “our”), including web development and Meta Ads management (the “Services”).
By using the Site, or by accepting a proposal or paying an invoice from us, you agree to these Terms. If you are acting for a business, you confirm that you have authority to bind that business. If you do not agree, please do not use the Site or our Services.
1. Our agreement with you
1.1 Documents that make up the agreement
When you engage us for a project, the agreement consists of:
- The written proposal or statement of work we send you and you accept (the “Proposal”), which sets out scope, deliverables, timeline, fees, and payment schedule.
- These Terms.
- Any written change request we both agree to during the project.
If there is a conflict between them, the Proposal prevails over these Terms for the specific project, and a signed or confirmed change request prevails over the original Proposal on the point it changes.
1.2 How you accept
You accept a Proposal by confirming in writing (including by email or message), paying the first invoice, or telling us to begin work. Work starts once we have received the first payment and the information we need from you.
2. Our services
2.1 Web development
We design and develop websites, landing pages, product and app promotion pages, and portfolios, as described in your Proposal. Unless the Proposal states otherwise, a project includes:
- Strategy and structure
- Design and development
- Security configuration, built-in SEO, and performance work
- A broader business audit with our findings
- Testing and launch
2.2 Meta Ads management
We audit, set up, and manage advertising campaigns on Meta platforms, as described in your Proposal.
- We begin with an audit of your accounts, tracking, landing pages, and offer.
- Static ad creative is included. Video assets are supplied by you unless the Proposal states otherwise.
- Your advertising budget is paid directly to Meta. It is separate from our fees.
- We will not spend more than the budget you approve.
2.3 What our Services do not include
Unless the Proposal says so, our Services do not include: ongoing hosting or domain costs, content writing at scale, photography or video production, paid licences for third-party tools, legal or compliance review of your content, or work on systems unrelated to the project.
3. No guarantee of results
We commit to doing careful, professional work and to delivering what the Proposal describes. We do not guarantee specific business outcomes, including search rankings, traffic, lead volume, sales, cost per lead, or return on ad spend. Those depend on factors outside our control, such as your market, offer, pricing, competitors, platform rules and changes, and how you handle enquiries.
Our Money-Back Guarantee sets out when refunds apply to our work. It forms part of these Terms.
4. What we need from you
To deliver on time and to the standard we both want, you agree to:
- Give us accurate and complete information about your business and the project.
- Provide content, images, brand assets, and access promptly. Delays on your side may move the timeline and, where they cause extra work, the fees.
- Give feedback and approvals within the timelines in the Proposal, or within a reasonable time if none are stated.
- Name one person who can give approvals on your behalf.
- Make sure you have the right to use everything you give us, including text, images, logos, fonts, and data.
- For Meta Ads, keep your Meta account, page, payment method, and billing in good standing, and follow Meta’s advertising policies.
If you do not provide what we need within a reasonable time, we may pause the project. Where a project is paused for a long period, we may treat it as closed, and fees for work already completed remain payable.
5. Fees and payment
5.1 Fees
Fees, currency, and the payment schedule are set out in your Proposal. Unless it says otherwise, fees are exclusive of applicable taxes, including GST, which will be added to the invoice where required.
5.2 Invoices
- Invoices are payable within the period shown on the invoice.
- Work on later stages may pause while an earlier invoice is overdue.
- We may charge reasonable interest on overdue amounts, as permitted by law, after giving you notice.
5.3 Third-party costs
Costs charged by others, such as domains, hosting, paid plugins or licences, stock assets, and Meta ad spend, are your responsibility. If we pay any of these on your behalf with your approval, we will invoice them at cost.
5.4 Refunds
Refunds are governed by our Money-Back Guarantee. Outside the cases it covers, fees for work done are non-refundable.
6. Revisions and changes
- The Proposal states the number of revision rounds included at each stage. A revision round is one consolidated set of feedback, not a stream of separate small requests.
- Requests that go beyond the agreed scope are change requests. We will tell you what they would involve in time and cost, and we will proceed only after you confirm in writing.
- Once you have approved a stage, going back to change it is treated as a change request.
7. Launch and post-launch support
- Before launch, we test the work against the Proposal. Once you approve the work, or once it has been live without reported issues for 7 days, we treat the project as accepted.
- After launch, we will fix defects in the agreed scope at no additional charge for 30 days, unless the Proposal states a different period. A defect is something that does not work as the Proposal describes. It does not include new features, content changes, or issues caused by changes made by someone else.
- Ongoing maintenance, hosting management, content updates, and further development are available under a separate agreement.
8. Ownership and intellectual property
8.1 Your materials
You keep ownership of everything you give us (your “Client Materials”). You give us permission to use them to deliver the Services.
8.2 What we create
When you have paid in full, ownership of the final deliverables created specifically for you, such as your website design, custom code, and ad creative, passes to you. Until payment is complete, we keep ownership and you have a limited permission to use the work as needed for the project and testing.
8.3 What we keep
We keep ownership of our pre-existing tools, methods, code libraries, templates, frameworks, and general know-how (“AztorDev Materials”), including anything we develop independently of your project. Where a deliverable includes AztorDev Materials, you receive a non-exclusive, perpetual, worldwide licence to use them as part of the deliverable. You may not extract and resell them on their own.
8.4 Third-party and open-source components
Our work may use open-source software, fonts, stock assets, and other third-party components. These remain subject to their own licences, which we will comply with. Where a component requires a paid licence for you to use it, we will tell you in advance.
8.5 Portfolio and case studies
We may show completed work in our portfolio and describe it in case studies only with your permission. We will ask for that permission in writing and will respect it if you decline or later withdraw it for future use. We never present a client’s work, results, or name without confirmed permission.
9. Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for the project, and not disclose it except to people who need it to do their work and who are bound to keep it confidential, or where the law requires. This does not apply to information that is already public, that the other side already had, or that it obtains independently.
This obligation continues after the project ends.
10. Our use of AI tools
We use AI tools to help improve the quality and thoroughness of our work. People review all deliverables before they reach you. We do not enter your confidential Client Materials into AI tools that would use them to train public models, and we ask you to tell us if you have specific restrictions on AI tools being used with your materials.
11. Third-party platforms
Our Services depend on platforms we do not control, including Meta, Cloudflare, Google, and domain and hosting providers. Their rules, pricing, features, and availability may change, and they may restrict or suspend accounts. We are not responsible for outages, policy changes, or decisions made by these platforms, though we will help you adapt where we reasonably can.
12. Use of the Site
You agree not to:
- Use the Site for anything unlawful or to harm others
- Try to gain unauthorised access to the Site, our systems, or other users’ data
- Interfere with the Site’s operation, or send malware, spam, or automated bulk requests
- Copy, scrape, or reproduce the Site’s content for commercial use without our written permission
- Use the contact form to send misleading, abusive, or unrelated content
All content on the Site, including text, design, code, and branding, belongs to us or our licensors and is protected by law. You may view and share links to it for ordinary, non-commercial purposes.
We work to keep the Site accurate and available, but we provide it “as is” and do not guarantee it will be uninterrupted or error-free.
13. Warranties and disclaimers
We warrant that we will perform the Services with reasonable skill and care, and that the deliverables will substantially conform to the Proposal when delivered.
You warrant that you have the right to give us the Client Materials and access we need, and that using them as instructed will not infringe anyone’s rights or break the law.
Except as set out in these Terms and the Money-Back Guarantee, and to the fullest extent the law allows, we give no other warranties, whether express or implied, including any about fitness for a particular purpose or uninterrupted operation.
14. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential losses, including lost profits, lost revenue, lost business, lost data, or loss of goodwill, even if we were told they were possible.
- Our total liability to you for all claims arising from a project is limited to the fees you paid us for that project in the 12 months before the claim arose.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct.
15. Indemnity
You agree to protect us from claims, losses, and reasonable costs arising from: (a) Client Materials that you did not have the right to give us; (b) content or ads you asked us to publish that break the law or a platform’s rules; or (c) your breach of these Terms. We will tell you promptly if we receive such a claim and will cooperate reasonably in responding to it.
16. Ending the agreement
16.1 By you
You may end a project at any time by writing to us. You will pay for work completed up to the date of ending, and for any approved third-party costs. Any refund rights under our Money-Back Guarantee apply on top of this.
16.2 By us
We may suspend or end a project if you do not pay undisputed invoices after notice, repeatedly fail to provide what we need, ask us to do something unlawful or against platform rules, or breach these Terms in a way that is serious or not fixed within a reasonable period after notice. In that case, you pay for work completed, and we will hand over what you have paid for.
16.3 Ongoing Meta Ads management
Where a Meta Ads service runs month to month, either of us may end it with the written notice period stated in the Proposal, or 30 days’ written notice if none is stated. We will hand back access to your accounts and give you the campaign assets you are entitled to.
16.4 What continues after ending
Sections on ownership, confidentiality, payment, liability, and any other terms that by their nature should continue will remain in effect.
17. Force majeure
Neither of us is responsible for delay or failure caused by events beyond reasonable control, such as natural disasters, power or internet outages, platform or infrastructure failures, government action, or public emergencies. The affected party will tell the other promptly and take reasonable steps to continue.
18. Resolving disputes
We would like to resolve any problem directly, quickly, and fairly.
- Talk first. Write to [email protected] with a description of the issue. We will respond within 5 business days.
- Mediation. If we cannot resolve it within 30 days, we will try in good faith to settle it through a mediator we both agree on.
- Courts. If that fails, these Terms are governed by the laws of India, and the courts at Patna, Bihar have exclusive jurisdiction.
19. General
- Entire agreement. These Terms and the Proposal are the whole agreement for the project and replace earlier discussions about it.
- Changes to Terms. We may update these Terms. Updates apply to the Site from the date posted, and to existing projects only if you agree or when a new Proposal is accepted.
- Assignment. You may not transfer your rights under these Terms without our written consent.
- Severability. If any part of these Terms is found unenforceable, the rest continues in effect.
- No waiver. If we do not enforce a right straight away, we have not given it up.
- Notices. Notices may be given by email to the address you provided or to [email protected].
- Independent parties. Nothing in these Terms makes either of us the employee, partner, or agent of the other.
